End User License Agreement

Attagram is a product of Half Corporation, LLC (“Half Corporation,” “we,” “us”). This End User License Agreement (“Agreement”) is a contract between you and Half Corporation governing your use of the Attagram mobile application and the firmware running on the Attagram printer (collectively, the “Software”).

1. License grant

We grant you a personal, non-exclusive, non-transferable, revocable license to install and use the Software solely on devices you own or control, and solely in connection with a Attagram printer you have purchased or are authorized to use.

2. Restrictions

You may not: (a) reverse engineer, decompile, or disassemble the Software except to the extent expressly permitted by applicable law; (b) modify, adapt, or create derivative works; (c) rent, lease, lend, sell, or sublicense the Software; (d) remove or alter any proprietary notices; or (e) use the Software to violate any law or the rights of others.

3. Ownership

The Software is licensed, not sold. We and our licensors retain all right, title, and interest in the Software, including all intellectual property rights. No rights are granted to you other than those expressly set forth in this Agreement.

4. Firmware updates

Your Attagram printer may download and install firmware updates automatically. These updates may add, modify, or remove features. By using the printer you consent to receive these updates. We reserve the right to refuse service to devices running unauthorized or modified firmware.

5. Open source components

The Software may include open-source components licensed under separate terms. A list of such components and their respective licenses is available on request from hello@attagram.com.

6. Termination

This Agreement remains in effect until terminated. We may terminate it if you breach any provision. On termination, you must cease all use of the Software and destroy all copies. Sections 3, 7, 8, 9, and 10 survive termination.

7. Disclaimer of warranties

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SOFTWARE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE ATTAGRAM PRODUCT THAT GAVE RISE TO THE CLAIM. IN NO EVENT SHALL WE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

9. Export controls

You agree to comply with all applicable export and re-export control laws and regulations in connection with your use of the Software.

10. Governing law

This Agreement is governed by the laws of the State of Delaware, without regard to its conflict-of-law principles. Any dispute shall be resolved as set forth in our Terms of Service.
